GENERAL TERMS AND CONDITIONS OF SALE OF 9446-0169 QUÉBEC INC.

Please read carefully the following terms of sale (hereinafter the "Terms of Sale") of 9446-0169 QUÉBEC INC., a business corporation duly incorporated and registered under the laws of the province of Québec which operates a platform that helps trans and nonbinary individuals transform voice dysphoria into a voice they love through compassionate, gender-affirming voice training, and doing business as RENÉE YOXON EDUCATION (hereinafter "RENÉE YOXON EDUCATION", the "Seller", "we" or "us"). RENÉE YOXON EDUCATION operates this website https://www.reneeyoxon.com/ (hereinafter the "Platform").

The Terms of Sale hereof set out the terms and conditions applicable to the purchase or access of any services mentioned in Section 4 hereof or otherwise made available on the Platform (hereinafter the "Services"). If you register to use our free Services, the provisions of the Terms of Sale will also govern those free Services.

Some capitalized terms used in the Terms of Sale are defined in the Platform's Terms of Use. Please read them carefully in conjunction with the Terms of Sale.

The terms "you" and "yours" are associated with any person purchasing the Services (hereinafter the "Client" and collectively the "Clients") from RENÉE YOXON EDUCATION's Platform or accessing Freebies Services, as defined below.

By accepting the Terms of Sale, either by (i) clicking a box indicating acceptance, (ii) placing an Order (as defined below) on the Platform which refers to the Terms of Sale, or (iii) using the free Services, you expressly acknowledge that you have read, understood, and agree to be bound by the terms and conditions set forth in the Terms of Sale.

The Terms of Sale provides important information regarding your rights and obligations and the restrictions and exclusions you might be subject to.

The Platform Services may not be accessed for purposes of monitoring their features, availability, efficiency or functionality, or for any other benchmarking or competitive purposes. RENÉE YOXON EDUCATION's direct competitors are prohibited from accessing the Platform Services, except with RENÉE YOXON EDUCATION's prior written consent.

For more detailed information concerning your rights and obligations, please consult the Platform's Other Policies, as defined below. We also invite you to familiarize yourself with the applicable legislation.

1. AUTHORIZATION FOR USE OF ELECTRONIC DOCUMENTS

By accepting the Terms of Sale, you hereby consent to exchange documents and information with RENÉE YOXON EDUCATION via email, the Platform or any other means of electronic communication as may be specified by RENÉE YOXON EDUCATION from time to time. You acknowledge and agree that: (i) the Terms of Sale constitute a valid and enforceable agreement between you and RENÉE YOXON EDUCATION; and (ii) any subsequent agreement, information, notice and all other communications that we send you electronically satisfy all legal requirements for written communication under applicable law, including Quebec's Act to establish a legal framework for information technology (CQLR c. C-1.1).

2. OTHER DOCUMENTS, AGREEMENTS AND POLICIES

The Services, use of the Platform and the activity of RENÉE YOXON EDUCATION are subject to different terms, conditions and policies. This includes the Platform's Terms of Use, Privacy Policy and all other provisions that are applicable (hereinafter the "Other Policies"). You hereby declare that you have read and understood the Other Policies and that you are bound by them as you are bound to the Terms of Sale hereof.

Notwithstanding the above, the Terms of Sale shall prevail over the terms and conditions provided in the Other Policies. In case of a discrepancy between the Terms of Sale and the Other Policies, the provisions in the Terms of Sale are binding and have precedence over the Other Policies.

3. AVAILABILITY OF SERVICES

The types of Services available on the Platform are offered as follow:

  • The Freebies Services, as defined below, are available worldwide, subject to regional restrictions.
  • The Student Course, as defined below, are available worldwide, subject to regional restrictions.
  • The Teacher Training Course Service, as defined below, are available worldwide, subject to regional restrictions.
  • The Private Coaching Services as defined below, are available worldwide, subject to regional restrictions.

4. SERVICE

4.1. General Provisions

The specific features of the Services offered by RENÉE YOXON EDUCATION are defined on the Platform. The pricing for each Service is also stated on the Platform and forms part of the contract between the Client and RENÉE YOXON EDUCATION. Notwithstanding any list of Services mentioned in the Terms of Sale, RENÉE YOXON EDUCATION reserves the right, at any time and at its sole discretion, to update and otherwise modify the types of Services offered on the Platform as well as their availability, their content and/or their structure, subject to applicable imperative legal and regulatory provisions. Any material changes to Services already purchased by a Client will be communicated to the Client in advance.

When using the Services for the first time, the Client must sign up and create an account for the Platform (hereinafter the "Account"). Said Account creation is free of charge and will grant access to the Client's Student Portal on the Platform.

It is understood that any Service specifically named in the Terms of Sale hereof may, at any time and at RENÉE YOXON EDUCATION's sole discretion, have its on-Platform name or designation modified. Subject to any substantial change to its content or availability, such a renamed Service shall remain subject to the application provisions of these Terms of Sale regardless of its modified name or designation.

4.2. Freebies Services

"Freebies Services" include all Services offered by RENÉE YOXON EDUCATION's on its Platform that are not paid Services, which may or may not require the Client to register on the Platform. Subject to any change made by RENÉE YOXON EDUCATION at its sole discretion, Freebies Services include the following content found in the "Freebies" section of the Platform:

  • The "Change The Gender of Your Voice (No Hormones or Surgery Required!)" free webinar;
  • Other free workshop videos, webinars and audio interviews;
  • Voice warm-up videos;
  • A "Practice Games for Endurance" workbook, a "Learn How Your Voice Works" e-books and a voice anatomy colouring book;
  • Progress tracker graphs, practice log templates and a voice feminization journal;
  • A voice mixing board tool;
  • Device wallpapers;
  • A trans voice teacher directory; and
  • Any other Service branded as "Free" or as a "Freebie" on the Platform which RENÉE YOXON EDUCATION may implement at any time.

No fees are charged to the Client for access to Freebies Services. Nonetheless, the Client is and remains bound by the applicable provisions of the Terms of Sale and the Other Policies regarding their access and use of Freebie Services.

The Freebies Services agreement is formed between the Client and RENÉE YOXON EDUCATION on the date the Client first accesses the Freebies Service in question.

Access to Freebies Services may be restricted or suspended at RENÉE YOXON EDUCATION's sole discretion for legitimate reasons, including but not limited to safety, cybersecurity, maintenance, service update and/or service discontinuance considerations.

Freebies Services are not subject to the termination policy detailed herein.

4.3. Student Course Services

Subject to any change made by RENÉE YOXON EDUCATION, at any time and at its sole discretion, "Student Course Services" include the following paid courses offered as Services on the Platform:

  • "Mindful Voice Feminization";
  • "Mix & Match! Designing Your Nonbinary Voice"; and
  • "Masculinize Your Voice Without Testosterone".

Subject to any change made on the Platform by RENÉE YOXON EDUCATION, at any time and at its sole discretion, each of the aforementioned Student Course Services includes the following:

  • Lifetime access to an online course divided into modules and lessons;
  • Access to RENÉE YOXON EDUCATION's peer-to-peer private Discord server;
  • Access to monthly live "Q&A" calls, guaranteed until March 2026; and
  • Any other feature specified for each Student Course Services as detailed in their respective pages on the Platform.

RENÉE YOXON EDUCATION reserves the right, to update or otherwise modify the availability, the content and/or the structure of the Student Course Services, upon thirty (30) days' prior written notice to affected Clients, subject to applicable imperative legal and regulatory provisions. Material changes that substantially diminish the value of purchased Services will entitle affected Clients to a pro-rata refund.

4.4. Teacher Training Course Service

Subject to any change made by RENÉE YOXON EDUCATION, at any time and at its sole discretion, "Teacher Training Course Service" is a paid course offered as a Service on the Platform which includes the following:

  • A fixed number of weekly classes, as further detailed on the Teacher Training Course Service page on the Platform;
  • Teaching material and resources, including e-books;
  • Access to RENÉE YOXON EDUCATION's peer-to-peer private Facebook group;
  • A digital certification badge upon successful completion of the Teacher Training Course Service;
  • Optional display on RENÉE YOXON EDUCATION's trans voice teacher directory; and
  • Any other feature specified on the Teacher Training Course Service page on the Platform.

RENÉE YOXON EDUCATION reserves the right to update or otherwise modify the availability, the content and/or the structure of the Teacher Training Course Service upon thirty (30) days' prior written notice to affected Clients, subject to applicable imperative legal and regulatory provisions. Material changes that substantially diminish the value of purchased Services will entitle affected Clients to a pro-rata refund.

4.5. Private Coaching Services

"Private Coaching Services" are paid private lessons with a representative of RENÉE YOXON EDUCATION offered as a Service on the Platform. RENÉE YOXON EDUCATION may modify the structure or content of Private Coaching Services upon thirty (30) days' prior written notice to affected Clients, subject to applicable imperative legal and regulatory provisions.

Private Coaching Services are only available for Clients who have completed any of the Student Course Services.

Subject to any change made by RENÉE YOXON EDUCATION, at any time and at its sole discretion, Private Coaching Services include the following:

  • An individual lesson, as further detailed on the Private Coaching Services page of the Platform;
  • Customized feedback and practice plan;
  • Lifetime access to recordings, notes and resources shared in said individual lessons; and
  • Any other feature specified on the Private Coaching Services page on the Platform.

Unless otherwise specified by RENÉE YOXON EDUCATION, Private Coaching Services are priced and paid by lesson, as further detailed on the Private Coaching Service page on the Platform.

RENÉE YOXON EDUCATION reserves the right to update or otherwise modify the availability, the content and/or the structure of the Private Coaching Services upon thirty (30) days' prior written notice to affected Clients, subject to applicable imperative legal and regulatory provisions. Material changes that substantially diminish the value of purchased Services will entitle affected Clients to a pro-rata refund or the right to cancel without penalty.

5. ORDER

Any person placing an order for one or multiple Services on the Platform (hereinafter the "Order"), that is the Client, is the person entering into an agreement with RENÉE YOXON EDUCATION (hereinafter the "Agreement").

The Agreement is formed and binds RENÉE YOXON EDUCATION only when it approves the Order and the Client receives an Order confirmation by email, including details on the purchased Services and an invoice.

6. PRICE

All the prices are, in the absence of other indications of the contrary, in American dollars (USD).

Unless otherwise specified, RENÉE YOXON EDUCATION's fees expressed on the Platform do not include any applicable taxes, including the Quebec Sales Tax (QST), Goods and Services Tax (GST), or any other taxes, levies, duties or similar governmental assessments (hereinafter collectively "Taxes"). Where RENÉE YOXON EDUCATION is required by law to collect such Taxes, the applicable Taxes will be added to the price and clearly displayed to you before you complete your purchase. If we have the legal obligation to pay or collect Taxes for which you are responsible under this Section, we will invoice you and you shall be bound to pay said Taxes, unless you provide us with a valid tax exemption certificate authorized by the appropriate taxing authority.

Despite all efforts made by RENÉE YOXON EDUCATION to provide its Clients with the exact price description, risks of mistakes remain. In the event of a pricing error, RENÉE YOXON EDUCATION reserves the right to correct such error and will notify affected Clients promptly. For Orders already placed, RENÉE YOXON EDUCATION may modify the prices of Services or other Terms of Sale only with respect to future Orders, upon thirty (30) days' prior written notice, subject to applicable imperative legal and regulatory provisions.

If a price is displayed incorrectly, RENÉE YOXON EDUCATION reserves its right to cancel your Order before providing access to the Services and refund any fees charged to your method of payment. RENÉE YOXON EDUCATION will communicate with you promptly to explain the error and offer you the option to proceed with a new Order at the correct price or receive a full refund, in accordance with the Terms of Sale and subject to applicable imperative legal and regulatory provisions.

7. PAYMENT

7.1. General provisions

For all Orders placed on the Platform, payment methods and other terms are determined by RENÉE YOXON EDUCATION. RENÉE YOXON EDUCATION allows payments to be made by any means allowed by the following payment processing platforms and in accordance with their respective buyer terms: Stripe, Paypal and Thrivecart (individually the "Payment Processor"). RENÉE YOXON EDUCATION may implement new Payment Processors to its Platform or remove Payment Processors from its Platform upon reasonable notice to Clients, provided that at least one commonly used payment method remains available at all times.

Each Payment Processor is managed by its respective secure payment interface. RENÉE YOXON EDUCATION is not responsible for the information requested by a Payment Processor under their terms and conditions and/or policies.

Payments must be approved by the financial institution that issued the Client's credit card, if applicable. The Client must be legally authorized to use the selected method of payment. Where chargeback protection is not available through the Client's payment method and the Quebec Consumer Protection Act applies to the transaction, RENÉE YOXON EDUCATION commits to not charging the Client before providing access to the purchased Services.

RENÉE YOXON EDUCATION may occasionally provide discounts, rebates, promotional codes for the benefit of Clients. Clients can find out about these by email and/or by consulting the Platform.

The purchase of certain paid Services may be made by single payment (hereinafter "Pay-In-Full") and/or by payment plan (hereinafter "Payment Plan"), as displayed and in accordance with the terms and pricing established for each Service. RENÉE YOXON EDUCATION reserves the right to update or otherwise modify the terms of payment and/or the pricing of Services for future purchases, upon thirty (30) days' prior written notice, subject to applicable imperative legal and regulatory provisions. Such modifications shall not affect Orders already placed and confirmed. The Platform's point of sale may offer additional terms for the payment of Services based, among other things, on the date of purchase.

When an Order is placed by a Client under the "Pay-in-Full" payment option, the entirety of the purchased Services' price (the "Price") becomes due and payable by the Client on the day the Order is passed and approved by RENÉE YOXON EDUCATION (hereinafter, the "Order Date").

7.2. Payment Plans

The provisions of this subsection apply if a Service is paid by way of a Payment Plan, subject to that payment option being available for that Service at the time the Client places the Order on the Platform.

The Client agrees that they are and remain responsible for full and timely payment of all recurring installments of the purchased Services' Prices, in full accordance with the Payment Plan's terms.

The Client authorizes RENÉE YOXON EDUCATION, either directly or through the selected Payment Processor, to receive each installment of the Price as set out in the applicable Payment Plan, through the payment method available on the Platform and selected by the Client on the Order Date.

Each installment of the Payment Plan is charged on a monthly basis, or under any other periodicity provided on the Platform and chosen in its point of sale upon ordering the Service with Payment Plan, starting from the Order Date and for a term of 6 months or any other term provided on the Platform and chosen in its point of sale upon ordering the Service with Payment Plan (hereinafter the "Billing Cycle"). If the Order Date occurs on a calendar day that does not have an equivalent for subsequent month of the Billing Cycle, each installment of the Payment Plan shall be deemed to be due and payable on the last day of said month. For instance, if the Order date is March 31, the first installment shall be due and payable on March 31; the second installment shall be due and payable on April 30; the third installment shall be due and payable on May 31; etc.

On payment date of the Billing Cycle, the due and payable installment of the Payment Plan is paid automatically using the banking information provided by the Client when placing their Order.

In the event of failure to collect a Payment Plan installment owed in accordance with the applicable Billing Cycle, RENÉE YOXON EDUCATION will notify the Client of the payment failure and provide the Client with fourteen (14) days to remedy the situation. If payment is not received within this period, RENÉE YOXON EDUCATION may, at its sole discretion, attempt to collect the owed amount at a later date, suspend access to the Services until all due and payable amounts are duly paid in full, or cancel the Order and corresponding Agreement. Upon cancellation, the Client remains liable for all amounts due up to the date of cancellation.

8. AVAILABILITY OF SERVICES

The availability of certain Services might be altered, limited, restricted or withdrawn at any time ("Service Changes") for purposes that include but are not limited to Services' update and/or improvement. RENÉE YOXON EDUCATION has the right to effect Service Changes at any time without previous notice. If a Service ordered by a Client on the Platform becomes permanently unavailable, RENÉE YOXON EDUCATION will notify the Client by email and the unavailable Service's Order will automatically be cancelled and refunded. The Client understands and agrees that Service Changes do not constitute permanent unavailability of said Service for the purposes of the paragraph hereof.

9. CANCELLATION OF ORDERS

RENÉE YOXON EDUCATION reserves the right to limit quantities, refuse or cancel part or the entirety of any Order it receives, even if the Order has been confirmed and invoiced, for any reason it deems sufficient or appropriate, including but not limited to safety, cybersecurity, maintenance, service update and/or service discontinuance considerations. If your Order is cancelled after the Client's payment has been processed for said Order, the Client will receive a full refund from RENÉE YOXON EDUCATION in accordance with applicable laws and regulations.

Unless otherwise provided in the Terms of Sale and subject to applicable imperative legal and regulatory provisions, the Client may not unilaterally cancel their Order.

10. TERMINATION POLICY

Exclusively for a Student Course Service purchased by a Client, the Client may, within a 12-week period starting on the Order Date (the "Termination Period"), contact RENÉE YOXON EDUCATION under the communications provisions provided herein to request in writing the termination of the Agreement and refund of the Price paid (the "Termination Request"). The Termination Request must identify the Student Course Service purchased and the Order, as well as the explicit intention of the Client to terminate the related Agreement. The Client is not required to provide specific or sufficient reasons for their Termination Request but is welcome to provide feedback if they please, at their sole discretion.

If the Client duly abides by the terms of the Termination Request provided herein, RENÉE YOXON EDUCATION shall comply with said request by terminating the Agreement in question (the "Termination"). RENÉE YOXON EDUCATION will notify the Client in question of the Termination by way of written confirmation. As a result of the Termination, all amount of the Price received from the Client for the terminated Student Course Service shall be refunded to the Client within 30 days following the written confirmation of the Termination. In addition, Client fully understands and agrees that upon Termination, they will cease to have access to all features of said terminated Student Course Service on the Platform. The Client also fully understands and agrees that Termination does not incur deletion of their Account on the Platform or any other deletion or termination that is not mentioned in the section hereof.

The termination policy hereof does not apply to any other Service offered on the Platform. RENÉE YOXON EDUCATION is entitled, as its sole discretion, to refuse any request of a Client to terminate, rescind or cancel an Order or Agreement outside of the scope of the termination policy hereof, including but not limited to termination of a Student Course Service outside of the Termination Period.

11. EXCHANGE POLICY

Exclusively for a Student Course Service purchased by a Client, the Client may, within a 12 week-period starting on the Order Date (the "Exchange Period"), contact RENÉE YOXON EDUCATION under the communications provisions provided herein to request in writing the exchange of saif Student Course Service they purchased for another Student Course Service offered on the Platform (the "Exchange Request"). The Exchange Request must identify the Student Course Service purchased and the initial Order (the "Initial Course"), the Student Course Service they wish to have access to in exchange (the "New Course"), as well as the explicit intention of the Client to exchange the initial Student Course Service for the new one. The Client is not required to provide specific or sufficient reasons for their Exchange Request but is welcome to provide feedback if they please, at their sole discretion.

If the Client duly abides by the terms of the Exchange Request provided herein, RENÉE YOXON EDUCATION shall comply with said request by proceeding with the exchange and giving the Client access to the New Course (the "Exchange"). RENÉE YOXON EDUCATION will notify the Client in question of the Exchange by way of written confirmation. As a result of the Exchange, Client fully understands and agrees that upon the Exchange, they will cease to have access to all features of the Initial Course on the Platform.

The exchange policy hereof does not apply to any other Service offered on the Platform. RENÉE YOXON EDUCATION is entitled, as its sole discretion, to refuse any request of a Client to exchange a Service outside of the scope of the exchange policy hereof, including but not limited to exchange of a Student Course Service outside of the Exchange Period.

12. CLIENT'S RESPONSIBILITIES

Some of the features available on the Platform require the creation of an Account. When creating an account and when placing an Order, you hereby understand and agree to provide accurate, truthful, complete and up to date information about yourself as required by the Account creation process and to promptly update such information as necessary to ensure that it remains accurate, truthful, complete and up to date.

You acknowledge that you are fully and solely responsible:

  1. to maintain the confidentiality of the passwords you choose or that are assigned to you as a result of your Account's creation;
  2. for any activity that occurs under your Account's username or password; and
  3. to log out of your Account at the end of each session.

Furthermore, you agree to notify RENÉE YOXON EDUCATION of any unauthorized use of your username or password. Subject to any liability that may not be excluded or limited under applicable imperative legal or regulatory provisions, in the event that you fail to comply with the obligations set forth in this section, RENÉE YOXON EDUCATION is not liable for any losses, privation of gain, compensatory, moratory, exemplary or punitive damages, liabilities, expenses, fees incurred, legal fees and other costs, whether direct or indirect, whether contractual or extracontractual (hereinafter the "Losses") arising therefrom.

The Client is responsible for the content created and/or posted on the Platform by them or any User using the Account to the extent permitted by law. Subject to any liability that may not be excluded or limited under applicable imperative legal or regulatory provisions, each Client is responsible for the content they or any User using the Account create or exchange on the Platform and may not use the Platform Services for purposes contrary to the laws applicable in Quebec and Canada.

It is Client's responsibility to ensure, prior to placing an Order, that it complies with all the terms and conditions set forth in the Terms of Sale and Other Policies.

13. ACCOUNT SUSPENSION

In case of a serious violation of the Terms of Sales and/or the Other Policies, or if RENÉE YOXON EDUCATION has reasonable grounds to believe that your actions require it to protect its security and integrity, that of its other Clients or third parties, for fraud prevention or investigation purposes, RENÉE YOXON EDUCATION may, acting reasonably, unilaterally decide to:

  1. Limit the access and use of the Platform to the infringing Client; and/or
  2. Suspend the offending Client's Account, temporarily or permanently, as required by the severity of the acts.

14. EXCLUSION AND LIMITATION OF LIABILITY

RENÉE YOXON EDUCATION provides the Services in accordance with the practice of its industry. RENÉE YOXON EDUCATION makes no express or implied warranties regarding, among other things, the commercial value or effectiveness of the Services provided for any specific person.

Subject to any liability that may not be excluded or limited under applicable imperative legal or regulatory provisions, the Client hereby fully understands and agrees that in no event shall any judicial or arbitral claim arising out of or in connection with the Services purchased by the Client, their efficacy or adequacy, the Client's use of the Platform and/or the application of the Terms of Sale and the Other Policies, exceed the total amount paid by the Client for such Services in the twelve (12) months preceding the first incident out of which the liability arose.

Subject to any liability that may not be excluded or limited under applicable imperative legal or regulatory provisions, in no event will RENÉE YOXON EDUCATION or its affiliates, its employees, agents, and/or representatives be held liable or have any liability towards the Client or a third party arising out of or related to Services purchased by the Client, their efficacy or adequacy, the Client's use of the Platform and/or the application of the Terms of Sale and the Other Policies for any indirect, incidental, consequential, or punitive Losses incurred by the Client or by a third party, except where such Losses result from intentional or gross fault of RENÉE YOXON EDUCATION.

Subject to any liability that may not be excluded or limited under applicable imperative legal or regulatory provisions, RENÉE YOXON EDUCATION may not be held liable or have any liability towards the Client or any third party for damages primarily caused by the Client's fault, in particular if the Client, or any person authorized by the Client, whether or not said authorization is granted in accordance with this Terms of Sale, fails to comply with the Terms of Sale or Other Policies.

This section hereof remains binding to the Client notwithstanding any Termination or Exchange.

15. FORCE MAJEURE

RENÉE YOXON EDUCATION will not be held liable or have any liability for any Losses incurred for the total or partial non-fulfillment of any of its obligations towards the Client in regards to Services, Orders or Agreement, if such total or partial non-fulfillment is due, directly or indirectly, to the occurrence of an event of force majeure as defined below (hereinafter the "Force Majeure").

Force majeure shall mean all events beyond the control of RENÉE YOXON EDUCATION, unforeseeable and unavoidable, of any nature whatsoever natural disasters, including but not limited to all natural catastrophes, severe weather conditions, fires, floods, avalanches, landslides or subsidence, earthquakes or other imminent seismic threats, nuclear or ecological threats, pandemics, endemics, epidemics, lockdowns, wars, insurrections, political crises, cyber-attacks, strikes, lockouts, sabotage, embargoes, interruptions or delays in transportation or communications (including interruption of computer server services, including a cloud server), acts or regulations emanating from public, civilian or military authorities (including delays in obtaining authorizations or permits of any kind), including in all cases the respective direct or indirect consequences of the aforementioned events, which would render the Agreement temporarily or indefinitely unenforceable.

If such an event occurs, as previously defined, RENÉE YOXON EDUCATION will notify the Client in writing.

16. COMMUNICATIONS

Except as otherwise specified in the Terms of Sale or in the terms of the Services, all communications and notices related to the Terms of Sale, a Services, an Order and/or an Agreement (hereinafter the "Communications") will be made in writing by email or by any means set out by RENÉE YOXON EDUCATION on the Platform. All Communications will be deemed to have been received on the 2nd business day following delivery of said Communications.

17. GOVERNING LAW AND JURISDICTION

RENÉE YOXON EDUCATION is a Canadian corporation with its head office located in the Province of Quebec. The Terms of Sale shall be interpreted in accordance with the laws of the Province of Quebec and the laws of Canada applicable therein.

The Terms of Sale shall be treated in all respects as a distance selling contract governed by the laws of the Province of Quebec, without regard to conflict of laws principles.

Subject to applicable imperative legal and regulatory provisions, any dispute between RENÉE YOXON EDUCATION and Client shall be submitted to the courts of the Province of Quebec, regardless of the place of residence of the Client.

Notwithstanding the above, when the Client is a consumer within the meaning of the Quebec Consumer Protection Act (CQLR, c. P-40.1), then any dispute relating to these terms shall be governed by the laws of the Province of Quebec and shall necessarily be brought before a court of competent jurisdiction pursuant to the rules of the Code of Civil Procedure (RLRQ, c. C-25.01).

18. ASSIGNMENT

The Client may not assign any of its rights or obligations hereunder, whether by operation of law or otherwise, without RENÉE YOXON EDUCATION's prior written consent, which may be withheld at its sole discretion.

19. MINORS

RENÉE YOXON EDUCATION reminds you that the Platform's access and use as well as the Services' access, use and/or purchase are designed for adults with the capacity and power to act and perform their obligations, as understood in the province of Quebec. By accessing or using the Platform and/or the Services, the Client hereby declares to RENÉE YOXON EDUCATION that they are at least 18 years of age, that they are not placed under any legal guardianship, and that they are able to form and close a contract on their own, without requiring the prior consent or authorization of a third party acting as legal guardian. Any advertisement made by RENÉE YOXON EDUCATION, whether on the Platform or through any other means, is exclusively addressed to capable adults over the age of 18, as understood in the province of Quebec.

Minors between the ages of 14 and 17 or adults placed under any legal tutorship or guardianship may only access the Platform and the Services with the express consent and full supervision of their holder of parental authority or legal tutor or guardian (the "Guardian"). In such a case, any Order placed or other purchase on the Platform must be made with the express consent and full supervision of the Guardian. Minors under 14 years of age may not use the Platform.

20. SEVERABILITY

The Parties are legally bound by the Terms of Sale and the Other Policies and hereby acknowledge their reciprocal rights and obligations. Any decision by a competent court declaring any provision of the Terms of Sale or the Other Policies invalid or unenforceable shall not affect the validity or enforceability of the remaining provisions of the Terms of Sale or the Other Policies, as the case may be.

21. ENTIRE AGREEMENT

The Terms of Sale and the Other Policies constitute the entirety of the agreement between RENÉE YOXON EDUCATION and the Client in regarding to the access and use of the Platform as well as the access, use and purchase of Services. The Terms of Sale and the Other Policies replaces and supersedes all previous agreements, proposals or representations (oral or written) regarding the the access and use of the Platform as well as the access, use and purchase of Services, and may only be amended under the terms hereof.

22. INTERPRETATION

Titles and headings of sections of the Terms of Sale and the Other Policies are for convenience only and shall not affect the construction of any provision of the Terms of Sale and the Other Policies.

When the context requires it and it is appropriate or adequate to do so, the terms granted in the singular also all include the plural, with the necessary adaptations and vice versa.

When the context so requires and it is appropriate or adequate to do so, terms granted with a specific gender also include all genders, with the necessary adaptations.

23. NO WAIVER

The fact that RENÉE YOXON EDUCATION does not enforce a provision of the Terms of Sale and/or the Other Policies, or does not respond to a breach of this the Terms of Sale and/or the Other Policies by a Client or any third party shall not, in any way, be construed as a waiver of any rights to which RENÉE YOXON EDUCATION is entitled to under the Terms of Sale and/or the Other Policies.

24. AMENDMENT OF THE TERMS OF SALES

RENÉE YOXON EDUCATION, may, at any time and at its sole discretion, make changes to the Terms of Sale. Subject to applicable imperative legal and regulatory provisions, any changes we make to this the Terms of Sale will be effective when RENÉE YOXON EDUCATION posts the revised Terms of Sale on this section of the Platform, and provides notice as required by applicable law. If material changes is made to the Terms of Sale, a pop-up notice will be displayed on our Platform and/or, if required by applicable imperative legal and regulatory provisions, RENÉE YOXON EDUCATION will contact you by email to notify you.

Continued access/use of our Services and/or the Platform constitutes the Client's acknowledgement and acceptance to all the terms of the the Terms of Sale. If you do not accept changes made to the Terms of Sale, you must stop accessing/using our Services and our Platform without delay. It is your sole responsibility to ensure that you have read, understood and accepted the latest version of the Terms of Sale. The "Effective Date" indicated at the top of the Terms of Sale hereof is the date it was last updated.

However, where the Quebec's Consumer Protection Act (CQLR, c. P-40.1) applies, RENÉE YOXON EDUCATION will notify the current Clients of the Platform at least 30 days prior to the entry into force of the amended Terms of Sale. Amendments will be communicated to the Client when accessing the Platform by way of written notice and will subject the use of the Platform by the Client starting on the Effective Date of amendments to their acceptance of the amendments, with the possibility for the Client to consult the details of said amendments on RENÉE YOXON EDUCATION's Platform. In such a case, if the Client refuses these amendments and wishes to terminate any Agreement with RENÉE YOXON EDUCATION, they will have 30 days following the entry into force of the amendments to send a notice to RENÉE YOXON EDUCATION and terminate, without charge or penalty, their obligations to RENÉE YOXON EDUCATION, and must cease all access and use of the Platform and the Services.

25. FRENCH AND ENGLISH LANGUAGE

In the event of any discrepancy or divergence of interpretation between the English versions of the Terms of Sale and its version in any other language, the English version shall prevail.
